Terms of Service

These Terms of Service ("Terms") govern your access to and use of NexaTech Inc.'s services, APIs, and websites. By using our services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using NexaTech services, you confirm that you are at least 18 years old, that you have the authority to bind your organization (if applicable), and that you agree to these Terms and our Privacy Policy.

2. Services

NexaTech provides cloud infrastructure, developer tools, security products, analytics, and AI services (collectively, "Services"). We reserve the right to modify or discontinue Services with reasonable notice.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use NexaTech services to: (a) violate any law or regulation; (b) transmit malware or conduct cyberattacks; (c) send unsolicited communications; (d) infringe intellectual property rights; (e) conduct activities that could harm NexaTech's infrastructure or other customers.

5. Payment Terms

Fees are billed monthly in advance for fixed plans, and monthly in arrears for usage-based charges. All fees are non-refundable except as expressly stated in these Terms. Failure to pay may result in service suspension.

6. Service Level Agreement

Pro plans include a 99.9% monthly uptime SLA. Enterprise plans include a 99.99% monthly uptime SLA with financial credits. SLA credits are your sole remedy for downtime.

7. Intellectual Property

NexaTech retains all rights to the platform and services. You retain all rights to your data and applications. You grant NexaTech a limited license to process your data to provide the services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXATECH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration under AAA rules.

10. Changes to Terms

We may update these Terms with 30 days' notice. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
